PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE KOOPAZ PLATFORM. BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS.

1. Introduction and Acceptance of Terms

Welcome to Koopaz ("Platform", "we", "us", or "our"), a digital marketplace that connects homeowners and office clients ("Clients") with qualified service providers ("Service Providers") across Zimbabwe. These Terms of Service ("Terms") constitute a legally binding agreement between you and Koopaz.

By registering for an account, accessing the Platform, or using any of our services, you confirm that:

Koopaz is an online marketplace that facilitates the connection between Clients seeking home and office services and qualified Service Providers in Zimbabwe. The Platform provides:

Koopaz acts solely as an intermediary. We are not a party to agreements between Clients and Service Providers, nor do we directly employ or contract Service Providers. All services are delivered by independent Service Providers.

Koopaz reserves the right to verify the credentials of Service Providers and to reject or remove any listing at our sole discretion.

Koopaz reserves the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or poses a risk to other users or the integrity of the Platform.

7.1 Booking Process

A Booking is confirmed once both the Client and Service Provider have accepted the terms of engagement through the Platform. Koopaz reserves the right to facilitate or cancel any Booking in cases of suspected fraud, safety concerns, or violation of these Terms.

7.2 Koopaz Fees

Koopaz charges a service fee on transactions completed through the Platform. The applicable fees will be disclosed to users prior to confirming a transaction. Fees are subject to change with reasonable notice posted on the Platform.

7.3 Payment Processing

All payments processed through the Platform are subject to our payment processing policies. Koopaz uses third-party payment processors. By making or receiving payments through the Platform, you agree to the terms and conditions of these processors.

7.4 Refunds and Disputes

In the event of a dispute regarding a completed service, Clients and Service Providers are encouraged to resolve the matter directly. Where a resolution cannot be reached, Koopaz may, at its discretion, mediate and implement a refund policy as described in our Help Centre. Koopaz's decision in such matters shall be final.

The Platform includes a review and rating system. You agree that all reviews submitted are honest, fair, and based on genuine experiences. Koopaz reserves the right to remove reviews that are false, defamatory, abusive, or otherwise in violation of these Terms.

10. Intellectual Property

All content, trademarks, logos, software, and materials on the Platform are the property of Koopaz or its licensors and are protected by applicable Zimbabwean and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Platform solely for its intended purpose.

11. Disclaimers and Limitation of Liability

11.1 Platform Disclaimer

The Platform is provided on an "as is" and "as available" basis. Koopaz makes no warranties, express or implied, regarding the reliability, accuracy, completeness, or availability of the Platform or the services offered by Service Providers.

11.2 Service Provider Disclaimer

Koopaz does not guarantee the quality, safety, legality, or appropriateness of any services offered by Service Providers. All engagements are between Clients and Service Providers as independent parties.

11.3 Limitation of Liability

To the fullest extent permitted by Zimbabwean law, Koopaz, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or any services booked through it. Our total liability shall not exceed the amount of fees paid by you to Koopaz in the three (3) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Koopaz and its affiliates, directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.

13. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy. Koopaz is committed to protecting personal data in accordance with the Cyber and Data Protection Act [Chapter 12:07] of Zimbabwe.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Zimbabwe.

14.2 Dispute Resolution

In the event of any dispute arising from or relating to these Terms or the use of the Platform, the parties shall first attempt to resolve the dispute through good-faith negotiation. If the dispute is not resolved within thirty (30) days, either party may refer the matter to mediation in accordance with the Arbitration Act [Chapter 7:15] of Zimbabwe.

14.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of Zimbabwe for the resolution of any disputes that cannot be settled through mediation.

15. Modifications to Terms

Koopaz reserves the right to modify these Terms at any time. Changes will be communicated to registered users via email or in-app notification at least fourteen (14) days before taking effect.

16. Termination

You may terminate your account at any time by contacting us at support@koopaz.com. Koopaz may suspend or terminate your access immediately and without notice for breach of these Terms.
